Date: June 20th,  2014 (Note: the validity of this offer is 10 days from dated herein and will be terminated sooner if non-compliance from the buyer)
We forward the FCO on behalf of Seller:
I, Mr. DAVID B. the chief Director of the above mentioned hereby confirm with full legal and corporate responsibility under penalty of perjury, that my company is ready, willing and able to enter into a contract to sell GOLD BARS to END BUYER with the following terms and conditions:

1. COMMODITY DESCRIPTION
The commodity/particulars that the Seller has offered and will supply to the Buyer are as follows:
COMMODITY : Alluvial Gold  BARS  (AU Concentrate).
 FINENESS: 24 Carats
PURITY: 99.47 % Minimum or better.   
TERM: Monthly shipment for 12 Months.  Contract term can be extended to five years based on performance.
PRICE:   USD $ 28,000 USD per KG
QUANTITY:   1000 kg monthly delivery for 12 months
ASSAY: Both buyer and seller will accept final Refinery Assay.
PACKING: Export Package Boxes.

2. TRANSPORTATION DOCUMENTS

This delivery shall be accompanied by: DOCUMENTS ACCOMPANYING MERCHANDISE

1. A Certificate of Origin (COD)
2.A Certificate Of Ownership
3.4 copies of Commercial Invoice from the consigner
4.Preliminary Assay Certificate IRGM Yaoundé Cameroon
5. Certificate of Non-Criminal Origin
6.Certificate of Photosynatry
7. Shipment Packing List
8. Air Way Bill and Masters Air Way Bill.
9. Authorization permit document for transport from the buyer side
10. Police Clearance document
11. United Nations Clearance Document
12. Transfer of Ownership undertaking Document
13. Freight Cargo details Sheet.
14. Authority to Export (declaration averring that the goods are free and clear noncriminal origin, unecumberance and free of any liens, transferable and exportable

   CIF Procedures

1. Both Parties agree to the terms by signing the SCO and getting contract amended by both parties involve, the buyer and the seller.

2. Once the contract is approve Signed and Sealed by both parties,  The deal will move forward.

A. The consignment of 20 KGS sealed and package in a metallic box would be carried to the Ministry of Transport recognized freight and export agency that ships out precious metals out from Cameroon.

B. the Ministry of transport would receive the cargo, coordinates the shipment and get it registered with the recognized freight and export agency.

D. During this period, the sellers end would be making available the payments to the various offices concerned in other to get the shipping documents issue out. Once the documents would be issue out and confirm, the Sellers end would certify the shipping documents and forward the certified copies as well as the keys of the box to the Buyers end notified address. This Package would be carry by Currier agencies. The tracking information's would be provided to the Buyers end. for the reference.(Please the buyers end should provide the direct shipping information's for the buyer needs the keys of the box at the airport of destination to clear the consignment with the customs).


D. The shipping agency at this moment would register down the consignment and issue out their invoice. Upon confirmation by both parties they would as well issue out their Invoice for the payments of the freight/shipment allocation charges so as to round up with the export and insurance charges to complete the whole CIF freight charges to BUYER

 E. Upon confirmation of payments as per their instructed invoice, they would get the AWB/MAWB issue out and get the shipment on board.

The Transport agency upon receiving the said Charges as per their Performa Invoice  would immediately confirm to the Buyers end, get funds and move on with the necessary shipment procedure.

1.)    The delivery agency as well as the Seller would deposit goods for shipment and forward all shipping details to the Buyers end for confirmation.
2.)     
THE FOLLOWING SHIPPING DOCUMENTS WOULD BE ISSUE OUT BY THE SHIPPING AGENCY.

1.)    The Air Way Bill.
2.)     The Masters Air Way Bill
3.)    Customs Declaration of shipment permit document for the Goods.
4.)     Freight Details sheet for the freight of the Cargo from Cameroon to the Buyers Destination.
F) Goods Deposit for shipments with AWB and MAWB copies being issued out.

G) Shipment departed to Buyers Destination Port

H.) Buyers end receives goods and does the clearance at his port

I) Goods Transported to the Buyers Refinery for Assayer. Goods assayer at the Refinery with Buyers Making the Final Payments within 72 Hrs Maximum into the Buyers as started down in their commercial Invoice. Buyer would as well forward a copy of the Assayer Test Results from their Refinery to the seller’s side for reference.

17.) Buyers and sellers discuss future prospect to get the deal keep moving with a second shipment. Also talk on the introduction of a JV deal would be discussed.

PAYMENT TERMS: Final Payment will be wire transferred to Sellers Bank within 72 hrs after the “Final Assay Report” from the “Buyers” nominated refinery



 The FCO shall become expired, null and void. No changes, alterations, or substitutions shall be permitted unless the same shall be notified in writing and signed
